1. Parties

This Author Agreement (“Agreement”) is entered into between:

Digital Whale (“Publisher,” “we,” “us,” or “our”)
and
The Author (“you,” “your,” or “Author”).

By submitting a manuscript or accepting publication services, you agree to be bound by this Agreement.


2. Purpose

The purpose of this Agreement is to define the terms under which Digital Whale may review, edit, publish, distribute, and promote the Author’s written work in digital formats.


3. Copyright Ownership

The Author retains full copyright ownership of all submitted and published content.

Nothing in this Agreement transfers ownership of your intellectual property to Digital Whale.


4. License Grant

By submitting your manuscript and accepting publication services, you grant Digital Whale a:

  • Non-exclusive
  • Worldwide
  • Royalty-bearing or non-royalty-bearing (as agreed separately)
  • Digital publishing and distribution license

This includes the right to:

  • Edit and format the manuscript for publication
  • Design and produce book covers and related materials
  • Publish in digital formats (eBook, PDF, online platforms)
  • Distribute through third-party channels and marketplaces
  • Promote and market the published work

5. Author Responsibilities

The Author confirms that:

  • The submitted work is original and does not infringe any third-party rights
  • The Author holds full rights to publish the content
  • The manuscript contains no illegal, defamatory, or infringing material
  • All provided information is accurate and complete

6. Editorial Process

If the manuscript is accepted:

  • The Publisher may provide editorial suggestions and revisions
  • Final publication requires mutual approval between Author and Publisher
  • The Publisher reserves the right to refuse publication if quality standards are not met

7. Publishing and Distribution

Digital Whale may publish and distribute the work through:

  • Digital bookstores and platforms
  • Online reading platforms
  • Partner distribution networks
  • Publisher-owned channels

The Publisher does not guarantee placement on any specific platform.


8. Revenue and Payments (If Applicable)

If the publishing agreement includes monetization:

  • Revenue sharing terms will be defined in a separate written agreement
  • Payments (if applicable) will be made according to agreed schedules
  • The Publisher may deduct applicable transaction or platform fees where relevant

9. Marketing and Promotion

The Publisher may promote the Author’s work through:

  • Website listings
  • Email campaigns
  • Social media channels
  • Digital advertising campaigns
  • Third-party promotional platforms

However, no specific marketing outcome or sales volume is guaranteed.


10. Revisions and Updates

The Publisher may update formatting, metadata, or design elements for:

  • Technical compatibility
  • Platform requirements
  • Marketing optimization

Substantive content changes will require Author approval.


11. Term and Termination

This Agreement remains in effect unless terminated by either party.

  • The Author may request removal of the work with written notice
  • The Publisher may suspend or terminate publishing rights in case of breach
  • Upon termination, distribution will be discontinued within a reasonable timeframe

12. Limitation of Liability

To the fullest extent permitted by law:

  • The Publisher is not responsible for indirect or consequential losses
  • No guarantee is made regarding sales performance or readership
  • Liability is limited to fees paid (if any) for publishing services

13. Indemnification

The Author agrees to indemnify and hold harmless Digital Whale against any claims arising from:

  • Copyright infringement
  • Defamation or unlawful content
  • Breach of this Agreement
  • Misrepresentation of rights

14. Independent Relationship

Nothing in this Agreement creates a joint venture, employment, or agency relationship between the Author and Digital Whale.


15. Governing Law

This Agreement shall be governed by the laws of the State of California, United States.

Any disputes shall be resolved under applicable jurisdiction in California courts.


16. Amendments

Digital Whale reserves the right to update this Agreement. Updated versions will be published on the website and become effective immediately upon posting.
